Vendor/manufacturer warrants good title and freedom for encumbrances and warrants against infringement. Acceptance hereunder may not exclude any warranty. All work must meet or exceed prior quality samples & delivered goods.
B. No changes, deletions, or additions may be made to this order without prior approval of the Director of Purchasing.
C. All prices are to be quoted FOB Destination, Freight Allowed.
D. All shipments are required to be palletized in accordance with the following standards.· 4 way-access wooden GMA Standard B or higher-level pallets in good condition.· The pallets are heat-treated following ISPM-15 standard.· The pallets are in size of 40×48 inch (100×120 cm) with the height under 72 inch (182.5 cm) for single pallet, or 100 inch (254 cm) for double-stacked pallets.· The total weight of each pallet is under 1,500 Lbs. or 680.4kg.E. This Shipping Mark must be used on all the Short & Long Sides, no mark is required for Top or Bottom of cartons unless required by shipper.

1. Manufacture of product

1.1 The Manufacturer shall manufacture and package the Product strictly in accordance with the Products Specifications, the Purchase Orders placed by HEEZY LLC and any other reasonable written instructions or amendments to the Specifications issued by HEEZY LLC from time to time.
制造商应严格依据产品说明、公司发出的订购单和任何其他合理的书面说明或公司随时发布的产品说明书的修正来生产和包装产品，
1.2 The Manufacturer shall make no changes to the Product and shall produce the Product as set out in Specifications as amended from time to time by HEEZY LLC. HEEZY LLC may make reasonable changes and modifications to the Specifications after taking into consideration the cost of implementing the same as well as considering the known capabilities of the Manufacturer provided that reasonable prior notice is given to the Manufacturer of any such change.
制造商不得对产品进行更改，并依据公司随时修订的产品说明进行生产。若考虑到完成成本和制造商的已知能力，公司有理由对产品说明进行合理改变和修正，但应事先向生产者发出通知。
1.3 The Manufacturer shall provide all necessary plant and facilities for manufacturing the Product in accordance with HEEZY LLC’s instructions including, without prejudice to the generality of the foregoing:

(a) the provision of clean and safe storage facilities with suitable precautions against theft and fire, satisfactory to the insurers referred to in Clause 7;

(b) sufficient labor force for manufacturing the Product in accordance with the specifications and the forecasts supplied by HEEZY LLC; and

(c) sufficient Equipment in good working order necessary for the implementation of its obligations hereunder.
为执行本合同项下的义务而有必要在良好的工作状态下提供足够的设备。
1.4 The Manufacturer shall promptly report to HEEZY LLC any defect, breakdown or other matter or event likely to interfere with any performance of its obligations hereunder.
出现任何可能影响本合同项下的义务履行的缺陷、故障或其他情况或事件，制造商应立即向公司报告。
1.5 The Manufacturer shall use all reasonable care and skill in manufacturing the Product and shall ensure that all Product supplied by it to HEEZY LLC hereunder is of satisfactory quality, fit for its purpose and accords in all respects with the Specifications.
制造商在生产产品时应使用一切合理的谨慎和手段，确保由制造商提供给公司的所有产品均能符合产品质量要求、目的和规格。
1.6 The Manufacturer shall be liable to replace any Defective Product at its own expense as set out in Clause 3.3.
制造商对缺陷产品负有替换的责任并自行承担费用，如第3.3条款。
1.7 The Manufacturer shall:

(a) keep full, true and accurate records of:

(a.1) quantities of Product manufactured;

(a.2) quantities of Packaging Materials received and in storage;

(a.3) quantities of Packaging Materials used; and

(a.4) quantities of Product delivered or dispatched;

(b) permit HEEZY LLC to inspect such records at all reasonable times and submit such records within 5 working days to HEEZY LLC whenever so required in writing by HEEZY LLC;
允许公司在任何合理时间监督以上记录，当公司以书面形式索要这些记录时制造商应在5个工作日内提交。
(c) comply with all laws and regulations for the time being in force relating to the manufacture of the Product and the sale of such product to the Company including but not limited to any laws and regulations governing the manufacture of goods in PRC, environmental protection employment and labor as well as customs and excise and tax; and
遵守与为公司生产、销售产品相关的所有法律法规，包括但不限于中国与产品生产、环境保护、劳动就业、海关和税务有关的法律法规; 和
(d) not deliver or dispatch the Product except in accordance with the Company’s written instructions.
制造商应遵守公司的书面说明来交付或托运产品。
2. Quality control

2.1 The Manufacturer shall upon reasonable prior written notice permit HEEZY LLC’s representatives to enter its premises at all times during normal working hours and at other times by prior arrangement with the Manufacturer for the purpose of inspecting the Equipment, the Product, the Packaging Materials and all aspects of the manufacture of the Product.
在正常工作时间内以及有预先安排的其他时间，制造商应依据合理的预先书面通知允许公司代表以监督设备、产品、包装材料和产品生产等所有方面为目的进入其生产场所。
2.2 During the manufacture of the Product by the Manufacturer hereunder, the Manufacturer shall at HEEZY LLC’s request supply to HEEZY LLC samples of any batch and shall not permit the Products represented by the sample or samples to be released for dispatch until HEEZY LLC has approved the same.
在本合同所述生产者生产产品期间，生产者应按照公司的要求将各批次的产品样品提供给公司，在未得到公司同意之前不得以该样品或同种样品代替产品进行运送。
2.3 HEEZY LLC shall have the right to reject all or any of the Products which do not meet the Specifications requirements provided that such claim shall be submitted to the Manufacturer with the supporting evidence. In the event of such rejection, the Manufacturer shall, at HEEZY LLC’s discretion, replace such Products within ……. working days from HEEZY LLC’s notice of rejection, or issue a credit note for the related invoice amount and additional related costs, if any.
公司有权拒绝所有或任何种类的不满足说明书要求的产品，该权利的提出需向制造商出示证据。一旦出现此种情况，基于公司的决定，制造商应自接到公司通知之日起…….日内替换该产品，若有相关的发票和额外的相关成本则也应出具发票。
2.4 HEEZY LLC and the Manufacturer shall decide in joint consultation which corrections can be made by HEEZY LLC against the reimbursement by the Manufacturer for expenses for labor and material incurred by HEEZY LLC in correcting and repairing such defective Products.
因公司改正和修理不合格产品所发生的劳务和材料等费用，公司和制造商应共同磋商该部分的赔偿事宜。
3. Restrictions on the manufacturer

3.1 The Manufacturer undertakes to HEEZY LLC that, subject as herein provided, it shall not during the continuance of this Contract and for a period of [2,] years after its termination, either on its own account or in conjunction with or on behalf of any other person, firm or company, be engaged, concerned or interested (directly or indirectly) in manufacturing for sale in competition with HEEZY LLC.
在合同期内以及在合同终止的 [2,] 年内，制造商不可以自己的名义、与其他人联合的名义或代表其他人、事务所或公司从事、关注与公司竞争的生产，或对此感兴趣。
3.2 The Manufacturer is subject to this restriction, except when it first demonstrates to HEEZY LLC’s reasonable satisfaction that the design, components, specifications used in its manufacture are materially different from that used for the time being in the manufacture of the Product.

4. Ownership and risk

4.1 Ownership of the Product shall pass to HEEZY LLC upon completion of manufacture by the Manufacturer.

4.2 Risk in the Product shall pass to HEEZY LLC upon Delivery.

4.3 The Packaging Materials and completed Product shall at all times remain the property of HEEZY LLC and, for so long as this Contract remains in force, the Manufacturer undertakes:

(a) to keep all Product and Packaging Materials in its own possession and under its own control (except as provided in this Contract);

(b) not to sell, offer for sale, assign, pledge, mortgage, charge or transfer any Product or Packaging Materials nor part with the possession custody or control of the same (except as provided in this Contract) nor do or suffer anything to be done whereby the same shall or may be seized, taken in execution, attached, destroyed or damaged; and
制造商不得销售、准备待售、分派、典当、抵押或交换任何产品或包装材料，不得脱离占有或控制（除非本合同规定），不得使产品和包装材料遭到查封、执行、附加执行、损坏或毁灭。
(c) to use all Product and Packaging Materials only for the purposes of this Contract and not to allow any other person or party to use the same except with the prior written consent of HEEZY LLC.
全部产品和包装材料只用于本合同的目的，不允许任何一个人或第三方在没有得到公司预先书面同意的情况下使用该产品和包装材料。
4.4 The Manufacturer shall take all reasonable precautions against theft, fire, pilferage, contamination and other damage to the manufactured Product and Packaging Materials whilst in its possession or control.
制造商应采用所有合理措施防止窃贼、火灾、盗窃、污染和其他可能对其占有和控制的已制造的产品和包装材料造成损失的情况的发生。
5. Payment of export tax duties
5. 出口关税的支付
The Manufacturer shall indemnify HEEZY LLC and keep HEEZY LLC indemnified against any damage claim made and any action or other proceedings brought against HEEZY LLC arising out of or in connection with any liability for the payment of any government tax, excise duty or duties, sales tax or other government fees in respect of the Product or any damage to or loss of the Product (for whatever reason the same my occur) whilst in the possession or under the control of the Manufacturer prior to Delivery.
在制造商未运送产品前的占有和控制期间，制造商应使公司免于收到任何索赔请求或使公司承担就产品或给产品造成损失（无论发生何种原因）的任何有关政府税、消费税或关税、营业税或其他政府费用的支付义务，
6. Insurance

6.1 The Manufacturer shall maintain insurance in its own name to the reasonable satisfaction of HEEZY LLC with such insurer as HEEZY LLC may approve by written notice to the Manufacturer:

(a) against fire and theft and other agreed additional perils in respect of the Product and Packaging Materials to their full value and against theft on a “first loss” basis; and

(b) in respect of any liability of the Manufacturer to HEEZY LLC under sub-clauses 2.5 and 2.6 of this Contract to a value which shall not be less than …………………. [insert amount and currency].

6.2 The Manufacturer shall supply HEEZY LLC with a copy of the insurance policy or policies.

6.3 The Manufacturer will not vary or agree to vary the terms of such policy or policies without the prior written consent of HEEZY LLC.
制造商在未经公司事先书面同意的情况下不得改变或同意改变保单的条款。
6.4 Without prejudice to any of its other obligations under this Contract, the Manufacturer shall use its best efforts to ensure that any such policy is not vitiated by reason of any act or omission of its employees or agents or others for whom it may be responsible.
在不违反本合同规定义务的情况下，制造商应尽全力保证该保单不因其员工、代理或负责的其他人的行为或疏忽而受到损害。
7. Pricing and delivery

7.1 The prices payable by HEEZY LLC for the products to Manufacturer pursuant to the terms of this Contract shall be set out in Schedule 4, and amended by the Parties from time to time.
公司依据合同相关条款按照附表4中列明的规定向制造商支付产品价款，支付条款可有双方随时修改。
7.2 The price includes packaging of all products. Transportation of each product to the destination established by HEEZY LLC will be responsibility of the Manufacturer and the reasonable costs will be reimbursed by Company against copies of invoices or other evidence of payment as required by HEEZY LLC.
价款包括所有产品的包装。制造商负责将每批产品运送到公司指定目的地，制造商因此发生的合理支出可有公司报销，但需按照公司的要求提交发票或其他支付凭证的复印件。
7.3 Delivery shall be performed as set out in the Purchase Order. Should the relevant lead times not be met, the Manufacturer shall pay HEEZY LLC liquidated damages at a rate of ….. by each ……. of delay [insert a percentage related to the price of the Products for a certain period of delay in delivery; for example: 1% per each working day, 3% per each week, 10% per each month).
产品的运送方式需要在订购单上列明。一旦出现制造商不能按时交付产品时，制造商应向公司支付每…….天…….%的违约赔偿金。[与迟延交付产品有关的价格的一定百分比，例如：每工作日1%、每周3%、每月10%).
8. Payment

The Manufacturer shall be entitled to render pro-forma invoices to HEEZY LLC after the date of Delivery. Invoices shall be payable by HEEZY LLC no later than ……… [90] working days from the date of receipt of such invoice by HEEZY LLC. Payments for Products made by HEEZY LLC are without prejudice to any rights HEEZY LLC may have for any reason whatever and any liability of the Manufacturer for breach of this Contract shall not be affected by reason of such payment.
制造商应自托运后递交形式发票。公司自收到发票之日起不超过……… [90]工作日支付货款。产品价款的支付不得损害公司因任何原因而拥有的权利，也不得对制造商违约而要承担的义务造成影响。
9. Intellectual property

9.1 HEEZY LLC shall choose the model and design of the Product and provide the Specification and special function requirements for the product to the Manufacturer. The Manufacturer shall develop and manufacture the Product independently according to HEEZY LLC’s requirements.
公司应选择产品的模型和设计方案并向制造商提供产品说明书和对产品的特殊功能要求。制造商应按照公司的要求独立开发和生产产品。
9.2 Each Party shall retain exclusive ownership and control of its background Intellectual Property Rights (“IPRs”), which existed before the execution of this Contract. No license or any other right, related to any Intellectual Property Right of HEEZY LLC shall be deemed granted when HEEZY LLC provides the Specifications, special function requirements for the Product, and design and model of the products to the Manufacturer. Such Specifications and function requirements provided by HEEZY LLC shall only be used by the Manufacturer for the purpose of this Contract and no other purpose.
双方都应保留对背景知识产权的排他所有权和控制权，该背景知识产权在合同执行前已经存在。当公司向制造商提供产品模型、设计方案、产品说明和提出其他特殊功能要求时，与公司的知识产权相关的其他证照或权利不会被视为允许实施的。公司提出的产品说明和功能要求仅用于本合同的目的不能用于其他目的。
9.3 The entire foreground Intellectual Property Rights created, conceived, or generated under this Contract by the Manufacturer in fulfilling the Manufacturer’s obligation under this Contract shall be jointly owned by HEEZY LLC. The Manufacturer shall not use the foreground IPRs and HEEZY LLC technical specifications, special function requirements and background IPRs for any purpose other than manufacture and supply of the Products to HEEZY LLC, nor shall the Manufacturer authorize or knowingly permit them to be used by anyone else for, or in connection with, any purpose other than the manufacture and supply of the Products. With respect to filing of patent applications for the above mentioned, foreground IPRs, the right to apply for a patent shall be owned by HEEZY LLC and all the foreground IPRs created will be owned by HEEZY LLC. HEEZY LLC shall be fully entitled to independently file a patent application and such independently filed patents shall be solely owned by HEEZY LLC and the Manufacturer shall have no right to interest in the independently owned Company patents.
在制造商依据合同履行义务时创造、构思或产生的全部知识产权应与公司联合拥有该知识产权。制造商不得将前景知识产权和公司技术说明、特殊功能要求以及背景知识产权用于生产和向公司提供产品以外的其他目的，也不得授权或故意允许第三方非以生产和向公司提供产品为目的使用或使用与之有联系的以上权利。关于上述前景知识产权专利的申请权和创造出的前景知识产权的所有权均属于公司。公司对该知识产权的申请和占有拥有完全独立的权利，制造商无权独立占有该权利。
9.4 Without HEEZY LLC’s written authorization, the Manufacturer shall not use the Products, or have them used, manufactured, or marketed directly or as components in any other products.
没有公司的书面授权，制造商不得使用产品，不得使这些产品被直接使用、生产或投放市场，也不得将这些产品作为其他产品的组成部分。
9.5 HEEZY LLC grants to the Manufacturer a non-exclusive and indivisible right not capable of being transferred or sold, either voluntarily or by law, to use and supply the trademarks of “HEEZY LLC”, on HEEZY LLC assigned Packaging Materials or the Products. The use of the trademarks of HEEZY LLC shall be allowed only in a form previously approved by HEEZY LLC in writing.
公司允诺制造商在产品包装或产品上使用和提供本公司商标的非排他和不可分割的权利，该权利不会随意或因法律而被交换和转让。只有在公司预先书面同意的情况下才能使用公司商标。
9.6 The Manufacturer shall always strictly comply with the instructions, directions, and specifications which HEEZY LLC or its representatives may give from time to time with regard to the quality, manufacture, and packing in respect to the appearance and way of use of HEEZY LLC trademarks on the Products and the Packaging Materials thereof. The Manufacturer shall not use HEEZY LLC’s trademarks in combination with and/or simultaneously with any other trademark(s) whatsoever.
制造商应严格按照产品说明书、指导和规格说明生产产品，这些要求由公司或其代表处依据产品质量、生产和包装随时向制造商提出，产品质量、生产和包装的要求应考虑在产品和包装上使用公司商标的外观和使用方法。制造商不得与其他商标联合或同时使用。
10. Indemnity

10.1 The Manufacturer is solely responsible for any action, claim, demand, fines, losses, damages, costs and expenses whether direct or indirect and whether incurred by the Manufacturer arising from any actual or alleged infringement of any patent, patent application or other industrial or intellectual property rights of any third party as a result of the production of the Products by the Manufacturer.
对于任何第三方基于制造商生产的产品而提出的任何无论是否由制造商引起的、直接或间接造成的实质上的或声明意义上的对专利、专利申请或其他工业或知识产权的有关行为、索赔、要求、罚金、损失、损毁、成本和费用上的请求，均由制造商独立承担该责任。
10.2 The Manufacturer shall indemnify and keep HEEZY LLC exempt from any claims, fines, losses, damages, costs and expenses whether direct or indirect, in connection with product liability or non-compliance with environmental laws and/or regulations related to Production of the Products.
制造商应对所有索赔进行赔偿，免于给公司造成损失，索赔包括无论是否直接或间接的因与产品生产有关的环境法律法规而引起的，需承担罚金、损失、损毁、成本和费用的产品责任。
11. Confidentiality
11. 保密协议
11.1 The Manufacturer shall keep the Confidential Information confidential and secret and shall not use or disclose or make the Confidential Information available, directly, or indirectly, to any person other than its officers and employees who need the Confidential Information to enable the Manufacturer to perform its obligations under this Contract and provided that such officers and employees are also obliged to keep such Confidential Information confidential and secret.
制造商应对保密信息进行保密，不得向任何人直接或间接使用、披露该保密信息，除非制造商的办公人员或其他雇员依据本合同的有关规定需要保密信息来完成对产品生产的义务，且这些办公室人员和雇员也同样不得泄露保密信息。
11.2 The Manufacturer hereby agrees and undertakes:
制造商同意并承担：
(a) that all Confidential Information shall be and shall remain at all times the sole and exclusive property of HEEZY LLC;
所有的保密信息均属于公司的专有和排他的权利;
(b) that its right to use Confidential Information shall wholly cease upon the termination of this Contract; and
使用保密信息的权利在合同终止时停止行使; 和
(c) to return to HEEZY LLC on termination of this Contract all material embodying Confidential Information or any part thereof and all copies thereof, including, without limitation, information stored on computer disks.
在合同终止时，制造商向公司返还包括但不限于所有能够体现保密信息或复制的材料和储存在磁盘中的任何信息。
